1. Agreement to Terms

These Terms & Conditions (“Terms”) govern your use of the Power Graphics website and your purchase of any goods or services from Power Graphics (“we,” “us,” “our”). By placing an order, submitting a quote request, or otherwise using our website, you agree to be bound by these Terms in full. If you do not agree, you must not use our website or services.

2. Quotes, Orders & Acceptance

All quotes provided by Power Graphics, whether written, verbal, or submitted through our website, are estimates only and do not constitute a binding offer until confirmed in writing by us. We reserve the right to accept, decline, or cancel any order at our sole discretion, including after a quote has been issued, for reasons including but not limited to inaccurate specifications, unavailability of materials, pricing errors, or suspected fraud.

A contract for goods or services is only formed once we have confirmed your order and, where required, received your deposit or full payment. Order confirmations, mockups, and proofs are provided for your reference; final responsibility for reviewing and approving artwork, spelling, colors, sizing, and quantities rests solely with the customer.

3. Pricing & Payment

All prices are quoted in U.S. dollars and are subject to change without notice until an order is confirmed. We may require a deposit before production begins and full payment prior to shipment or pickup. Custom, rush, or large-volume orders may be subject to additional fees disclosed at the time of quoting.

Payment is due according to the terms stated on your invoice. Late payments may result in production delays, order cancellation, and/or the application of late fees at the maximum rate permitted under New Hampshire law. All sales are final once production has begun, except as otherwise set out in our Shipping & Returns policy.

4. Artwork, Proofs & Intellectual Property

By submitting artwork, logos, or designs, you represent and warrant that you own or have the necessary rights, licenses, and permissions to use and reproduce that content, and that doing so does not infringe any third party’s intellectual property or other rights. You agree to indemnify and hold Power Graphics harmless from any claim, loss, or expense arising from artwork you provide.

Power Graphics retains all rights to original designs, artwork, and logo concepts created by our in-house artists unless otherwise agreed in writing and paid for as a separate design-transfer fee. We may photograph, display, and use completed work (including customer logos already in the public domain) for portfolio, marketing, and promotional purposes, including our website and social media, unless the customer requests in writing that we not do so.

Proofs and mockups are approximations of the finished product. Minor variations in color, placement, size, or material between the proof and the finished goods are normal and do not constitute a defect.

5. Production Timelines

Estimated turnaround times are provided for guidance only and are not guaranteed. Timelines begin upon our receipt of a signed proof approval and any required deposit, and may be affected by order size, garment or material availability, and shop volume. Power Graphics is not liable for delays caused by circumstances beyond our reasonable control, including but not limited to supplier delays, equipment failure, weather, or events of force majeure.

6. Limitation of Liability

To the fullest extent permitted by law, Power Graphics’s total liability arising out of or relating to any order shall not exceed the amount paid by the customer for that order. In no event shall Power Graphics be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, even if advised of the possibility of such damages.

Our goods and services are provided on an “as is” and “as available” basis. Except as expressly stated in these Terms, we make no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or non-infringement.

7. Customer Conduct

You agree not to submit artwork or requests that are unlawful, defamatory, obscene, or that infringe the rights of any third party. We reserve the right to refuse any order containing content we deem inappropriate, offensive, or in violation of applicable law, at our sole discretion and without liability.

8. Cancellations

Orders may be cancelled prior to production for a full refund of any deposit, less any costs already incurred (such as design work performed). Once production has begun, orders are generally non-cancellable and non-refundable. See our Shipping & Returns policy for further detail.

9. Governing Law & Disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict-of-law principles, regardless of your location. Any dispute arising out of or relating to these Terms or any order shall be resolved exclusively in the state or federal courts located in Rockingham County, New Hampshire, and you consent to the personal jurisdiction of such courts.

10. Changes to These Terms

Power Graphics reserves the right to update or modify these Terms at any time without prior notice. Changes take effect immediately upon posting to our website. Your continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
